Roosevelt Gardens Boundary

Roosevelt Gardens is bordered to the north by NW 13 Street, NW 29 Avenue and NW 15 Court, on the east by NW 24 Avenue, on the south by Sunrise Boulevard and on the west by NW 31 Avenue/Martin Luther King, Jr. Blvd. The City of Fort Lauderdale abuts the northern and eastern boundary of the neighborhood, the neighborhoods of Washington Park and Franklin Park lie to the south and the City of Lauderhill to the west. 

By-laws of the Association

Article I: Purpose  

Section 1: Name: The name of this organization shall be Roosevelt Gardens Civic Association, hereinafter referred to as the "Association.”

Section 2: Purpose: The purpose of the Association shall be to promote the welfare and interests of the residents and other stakeholders within the community, to enhance the quality of life, and to foster a sense of community spirit and unity.

Article II: Membership

Section 1: Eligibility: Membership in the Association shall be open to residents, business owners, and property owners within the defined community boundaries who support the purpose of the Association.

Section 2: Rights and Privileges: All members shall have the right to attend meetings, participate in discussions, vote on matters put forth for decision, and stand for election to the Board of Directors.

Section 3: Dues: The Board of Directors shall have the authority to establish annual membership dues, if necessary, to support the activities and initiatives of the Association.

Article III: Board of Directors

Section 1: Composition: The Association shall be governed by a Board of Directors consisting of five members, elected by the membership at the Annual General Meeting.

Section 2: Duties: The Board of Directors shall be responsible for managing the affairs of the Association, including but not limited to setting goals, planning activities, managing finances, and representing the Association in external matters.

Section 3: Term of Office: Directors shall serve a term of 1 year, with the option for re-election for subsequent terms.

Section 4: Meetings: The Board of Directors shall meet at least ten times per year. Additional meetings may be called by the President or upon the request of a majority of the Directors.

Section 5. Compensation of Directors: No officer or director shall receive salary, income, or other compensation except for out-of-pocket expenses incurred on behalf of the Association. Expense receipts for all items over $20.00 shall be submitted. No part of any income of the Association shall directly inure to monetary profit of any Association Member or Director.

Section 6: Removal of Directors: The membership may remove any officer by majority ballot vote of the total membership of the Association.

Article IV: Officers

Section 1: Officers: The officers of the Association shall consist of a President, Vice-President, Secretary, and Treasurer, with one additional board member.

Section 2: Election and Term: Officers shall be elected by the Board of Directors from among its members at the first board meeting following the Annual General Meeting. Officers shall serve a term of one year, with the option for re-election.

Section 3: Duties: The duties of the officers shall be as follows:

  • The President shall preside over meetings, represent the Association in external matters, and provide leadership to the Board of Directors.

  • The Vice-President shall assist the President and assume the duties of the President in their absence.

  • The Secretary shall keep accurate records of meetings and correspondence of the Association and shall maintain the membership records.

  • The Treasurer shall be responsible for the financial management of the Association, including maintaining accurate records of income and expenses.

Article V: Committees 

Section 1: Establishment: The Board of Directors may establish ad hoc committees from time to time to execute specific matters of business for presentation to the general membership. The chair shall be selected by the committee members.

Section 2: Dissolution: Ad hoc committees may be dissolved by the Board of Directors when the committee is no longer needed. 

Article VI: Meetings

Section 1: Annual General Meeting: The Association shall hold an Annual General Meeting once per year to elect Directors, Officers, and conduct any other necessary business.

Section 2: Member Meetings: The Association shall hold regular member meetings to inform residents, communicate items that may impact them, and receive feedback.

Section 3: Special Meetings: Special meetings may be called by the President or upon the written request of at least sixty percent of the membership. Notice of special meetings shall be provided to all members at least 48 hours in advance.

Article VII: Amendments

Section 1: Amendments: Proposal Amendments to these By-Laws may be proposed by any member of the Association in writing to the Board of Directors. The Board shall determine by a majority vote whether to present these amendments to the membership for approval. 

Section 2: Approval of Amendments: Amendments to these By-Laws shall be approved by a two-thirds majority vote of the members present at a duly called meeting.

Article VIII: Dissolution

Section 1: Dissolution Procedure: In the event of dissolution of the Association, any assets remaining after the satisfaction of all liabilities shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

Section 2; Notice:  Notice of dissolution shall be given to all members at least thirty days in advance of the final meeting.

These By-Laws were adopted by the Roosevelt Gardens Civic Association and approved by Broward County on June 20, 2024.
